Subject aims expressed by acquired skills and competences
In the frame of this subject the students will be able:
- describe legal enviroment, define the right subject of law reguation, outline the methods of regulation and list basic forms of regulation,
- comprehend principles of the public law and private law regulation and explain differences between them
- apply gained knowledge and comprehension when interpreting and solving model situations

Summary
The subject of the course is a more detailed interpretation of commercial law with a link to the practical application of the acquired theoretical knowledge. The student of the course will gain a more advanced overview in the field of commercial law regulation, draw practical recommendations in the law of commercial contracts and the law of commercial corporations.

Subject syllabus:
1. Entrepreneur and Entrepreneurship, Negotiation Entrepreneur Commercial acts in practice, problem areas of representation, business documents, their creation and use. Working with the Commercial Register.
2. Business Corporation - Companion and investor perspective. Specific procedure for establishing s.r.o. tailor-made, optimization for the chosen business project.
3. Social Contracts and Shareholder Agreements.
4. Exercise of social rights, influence on the operation of the company, management and control of the corporation. Property issues. Disposition with shares, transfers.
5. Business Corporations' Business Practices - Specific Problems in the Care of a Good Manager. Competence and competence of the institutions. Sanction and motivation tools. Performance Agreement. Remuneration. Principles of the proper functioning of the members of the institutions. Error prevention.
6. Influence, control and uniform control. Fundamentals of Group Law. Cancellation and extinction of the corporation. Disposal.
7. Specifications of Individual Personal and Equity Companies. Specifics of listed stock companies.
8. Negotiation and contraction in business practice. Business Contracts, Contract Standardization, Business Terms and Framework Contracts. Electronic contracting.
9. Contractual solution of business risks, assurance and securing, contract optimization from the perspective of supplier and customer. Usability of self-enforceable contractual instruments. Use of bills of exchange. Contractual solution to change circumstances.
10. Consequences of breach of contractual breaches. Contractual and legal sanctions.
11. Damages. Defective performance and its consequences.
12. Purchase contract, contract for work and other contractual types in business practice.
13. Practical procedure for debt collection, including enforcement in insolvency proceedings.
14. Judicial and Out-of-Court Settlement of Commercial Disputes - Practical Approach from both the Claimant and the Defendant's View.
